Terms and Conditions

1. Agreement

These Terms and Conditions ("Terms") are an agreement between you and Profound Academy, Inc. ("Profound Academy," "we," "us," or "our"). They govern your access to profound.academy and its learning, course-building, assessment, community, billing, and AI features (collectively, the "Service"). Our Privacy Policy explains how we process personal information.

By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to them. If you use the Service for an organization, you represent that you are authorized to bind that organization, and "you" includes the organization. If you do not agree, do not use the Service.

2. Eligibility and Minors

You must be at least 13 years old to create an account independently. If the law where you live requires a higher minimum age for an online service, that higher age applies. If you are under the age of legal majority, your parent or guardian must review and agree to these Terms on your behalf unless an authorized educational institution can legally do so.

A child under 13 may use the Service only when the use has been arranged by a parent, guardian, or authorized educational institution and all legally required consent has been obtained. Schools or organizations using the Service with children are responsible for providing required notices, obtaining required permissions, selecting appropriate privacy and course settings, and using student information only for authorized educational purposes. Schools planning use with children under 13 should contact us before student use.

You must be an adult with authority to use the payment method to purchase a subscription or credits.

3. Accounts and Authentication

You must provide accurate and current account information. You are responsible for safeguarding your account, authentication method, and devices and for activity under your account. Notify contact@profound.academy promptly if you suspect unauthorized use.

You may sign in using email and password or supported third-party providers such as Google, Facebook, or Microsoft. Your use of a third-party provider is also subject to that provider's terms. You may not impersonate another person, misrepresent your affiliation, or use another person's account without permission.

4. Courses and Organizations

The Service lets users create public, unlisted, and private courses, invite learners, create groups and assignments, publish content, grade work, view progress, and manage participants. Course creators, instructors, editors, schools, employers, and other organizations ("Course Administrators") control their courses and may establish additional rules. Those rules apply in addition to these Terms but do not bind Profound Academy unless we expressly agree in writing.

Course Administrators may access participant profiles, enrollment records, assignments, progress, code drafts and history, submissions, test results, questions, AI-assistant conversations, and academic-integrity reports for their courses. They may block or remove participants, edit or moderate course discussions, change course availability, and make academic decisions. If you disagree with a grade, deadline, integrity finding, or other course decision, contact the relevant Course Administrator first.

Course Administrators represent that they have authority to upload course materials, invite users, process participant information, and send course or assignment communications. They are responsible for complying with education, employment, privacy, accessibility, intellectual-property, marketing, and other laws that apply to their courses.

5. Educational and Assessment Features

The Service includes automated code execution, testing, grading, open-ended answer evaluation, rankings, progress tracking, assignments, and an optional Safe Exam Browser workflow. Results can be incomplete, delayed, or incorrect. Course Administrators remain responsible for reviewing results and deciding how they will be used in grading, admissions, employment, certification, discipline, or other consequential contexts.

Some assessments may require third-party software, including Safe Exam Browser, and may restrict websites, applications, tabs, clipboard functions, screenshots, or other device features. You are responsible for reviewing that software's requirements and terms and for using a compatible device.

6. AI Features

The Service uses third-party artificial-intelligence models, including models supplied by OpenAI and Google, to help create and edit courses, generate images, answer questions, provide submission feedback, grade open-ended work, moderate forum posts, search the web, and analyze academic-integrity signals.

AI output may be inaccurate, incomplete, offensive, unsafe, non-unique, or unsuitable for your purpose. It may contain errors in explanations, code, tests, grading, translations, citations, or generated media. You must review AI output before relying on, publishing, or acting on it. You are responsible for ensuring your use of AI input and output is lawful and does not violate another person's rights or your school, employer, or course rules.

Do not submit confidential information, personal information you are not authorized to disclose, regulated data, production credentials, or other sensitive material to AI features. AI prompts, responses, related content, and usage metadata may be processed by our AI providers as described in the Privacy Policy.

As between you and Profound Academy, and to the extent permitted by law, you retain any rights you have in your input and own any rights we may have in output generated specifically for you. This does not give you rights in Profound Academy materials, third-party materials, or similar output generated for others, and it does not guarantee that output is eligible for intellectual-property protection.

7. Work History and Academic Integrity

The Service may record more than final answers. When you work on exercises, it can save code snapshots and changes, selection positions, active files, run and submission results, timestamps, and events showing when an exercise is opened, hidden, revisited, or closed. Large code changes may be treated as signals of pasted content. Course settings may disable pasting.

If a course enables similarity or automatic cheating detection, the Service may compare your work with other submissions and use AI to analyze your complete coding history. It may generate a similarity result, cheating probability, explanation, and status. An automated report above the configured threshold can mark work as cheated, reduce its score to zero, make related submissions unavailable, or change progress. Instructors can review and override reports and remain responsible for final disciplinary or academic decisions. You may ask the relevant instructor to review a result and may also contact us about a technical error.

You must follow the academic-integrity, examination, collaboration, and AI-use rules established by your Course Administrator. The Service's signals are evidence for review, not a guarantee that misconduct did or did not occur.

8. Purchases, Subscriptions, and Credits

Paid AI features use credits. The price, number of credits, billing period, and other purchase details shown at checkout form part of these Terms.

Subscriptions are billed in advance and renew automatically for the same billing period until canceled. You authorize Stripe and us to charge the applicable fees and taxes to your payment method. You can manage or cancel a subscription through the billing portal. Cancellation normally takes effect at the end of the current paid period unless the portal states otherwise.

Subscription credits are granted for the applicable billing period. Unused subscription credits do not roll over and expire or are revoked when the applicable period or subscription ends. Top-up credits are one-time purchases, are used after credits with an earlier expiration, and remain available until used unless checkout states otherwise. Promotional or signup credits may be limited, modified, or discontinued and are not part of a paid balance.

Credits are a limited, revocable license to use eligible Service features. They have no cash value, are non-transferable, and cannot be redeemed for money. We may correct a credit balance affected by an error, duplicate event, refund, chargeback, fraud, or unauthorized transaction.

We may change future prices or credit amounts. For an existing subscription, we will provide notice when required and a price change will apply no earlier than the next renewal after the effective date. If payment fails or a subscription becomes past due, unpaid, canceled, or otherwise inactive, we may suspend paid features and revoke unused subscription credits.

Except where required by law or expressly stated at checkout, purchases are final and non-refundable. Nothing in these Terms limits mandatory cancellation or refund rights.

9. Your Content

"User Content" means courses, exercises, files, images, code, submissions, answers, tests, rubrics, forum posts, messages, prompts, feedback, and other material you provide through the Service.

You retain ownership of your User Content. You represent that you have all rights and permissions needed to provide it and that it does not violate law, another person's privacy, publicity, intellectual-property, contractual, or other rights, or any obligation of confidentiality.

You grant Profound Academy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, format, modify for technical purposes, analyze, and otherwise use User Content as necessary to operate, secure, support, and improve the Service; provide AI and assessment features; follow your instructions and visibility settings; and make User Content available to Course Administrators, users, and service providers as described in these Terms and the Privacy Policy. This license is sublicensable only as needed to operate the Service. It lasts while the User Content is stored in the Service and afterward only to the extent it remains in backups, shared course or academic records, public content, or records we are legally permitted to retain.

You are responsible for keeping your own copies. We may, but are not required to, review, moderate, refuse, remove, restrict, or restore User Content.

10. Visibility and Sharing

You are responsible for the visibility settings you select and the information you choose to share.

  • Public courses may be accessible to anyone and may appear in search.
  • Unlisted courses may be accessible to anyone with the link.
  • Private courses are intended for invited users and course staff.
  • Approved public forum posts are visible to signed-in users; private questions remain available to the author and relevant Course Administrators or thread participants.
  • Basic profile and submission-result information may be visible to signed-in users. Rankings, submitted code, and detailed results may be shared according to course settings and whether a learner has solved an exercise.

Uploaded profile pictures and course files may be retrievable by anyone who has their storage URL, even when the surrounding course is private. Do not upload secrets, credentials, confidential records, or personal information that should not be accessible in this way.

11. Acceptable Use

You may not use the Service to:

  • Violate law, regulation, sanctions, export controls, or another person's rights.
  • Harm, exploit, groom, or endanger a minor, or expose a minor to inappropriate material.
  • Harass, threaten, defame, discriminate against, or impersonate another person.
  • Upload malware or harmful code, attack the Service, bypass security or assessment restrictions, probe for vulnerabilities without authorization, or interfere with another person's use.
  • Access an account, private course, solution, test, system, or data without authorization.
  • Scrape, crawl, copy, benchmark, reverse engineer, or use automated means to access the Service except through functionality we provide or with our written permission.
  • Send spam or unauthorized advertising, invitations, or messages.
  • Infringe intellectual-property, privacy, publicity, confidentiality, or contractual rights.
  • Misrepresent AI-generated work, evade academic-integrity controls, falsify results, manipulate rankings or votes, or help another person do so.
  • Use Service output or data to build or train a competing product or model, except where applicable law does not permit this restriction.
  • Use the Service in a way that could create unreasonable risk, excessive load, or liability for Profound Academy or others.

12. Profound Academy Intellectual Property

The Service, including its software, design, branding, documentation, and content created by Profound Academy, is owned by Profound Academy or its licensors and protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not use our names, logos, or trademarks without written permission.

13. Copyright Complaints

If you believe material on the Service infringes copyright, email contact@profound.academy with the subject "Copyright Infringement" and include:

  • A physical or electronic signature of the copyright owner or authorized agent.
  • Identification of the copyrighted work.
  • Identification and location of the allegedly infringing material.
  • Your name, address, telephone number, and email address.
  • A good-faith statement that the disputed use is not authorized by the owner, its agent, or law.
  • A statement under penalty of perjury that the notice is accurate and that you are the owner or authorized to act for the owner.

Knowingly submitting a material misrepresentation may result in liability. We may remove material and terminate repeat infringers where appropriate.

14. Feedback

If you provide ideas, suggestions, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use it without restriction or compensation. Do not submit feedback you consider confidential.

15. Third-Party Services and Content

The Service depends on third-party services for authentication, cloud infrastructure, search, AI, analytics, email, payment processing, embedded media, and exam software. It may also contain links, iframes, files, or content supplied by Course Administrators or other users. We do not control third-party services or user-supplied content and are not responsible for their availability, terms, privacy practices, accuracy, or safety. Your use of them may be subject to separate terms.

16. Communications

We may send you authentication, security, billing, account, course-invitation, assignment, service, and legal notices. We may also send onboarding, progress, streak-reminder, announcement, or promotional messages. You can manage optional email categories in your preferences or use an unsubscribe link where provided. Opting out of optional messages does not stop necessary service communications.

17. Suspension and Termination

You may stop using the Service at any time and may request account deletion by emailing contact@profound.academy. Canceling a paid subscription does not automatically delete your account.

We may suspend or terminate access, remove content, restrict features, or cancel a transaction when reasonably necessary to address a breach of these Terms, security risk, abuse, legal requirement, nonpayment, fraud, harm to users or the Service, or discontinuation of a feature. When practical, we will provide notice and an opportunity to cure.

Course Administrators may separately remove you from their courses. Information may remain in shared content, academic records, transaction records, backups, or other records as described in the Privacy Policy.

Sections that by their nature should survive termination will survive, including provisions about ownership, licenses, payments, disclaimers, liability, indemnification, and disputes.

18. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available." Profound Academy and its licensors disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.

We do not warrant that the Service, AI output, course content, grading, integrity analysis, code execution, tests, storage, or third-party services will be accurate, complete, secure, uninterrupted, error-free, or suitable for any educational, professional, or compliance purpose.

These disclaimers do not exclude warranties that cannot legally be excluded.

19. Limitation of Liability

To the fullest extent permitted by law, Profound Academy and its officers, directors, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, or opportunity; or academic, employment, or disciplinary decisions arising out of or related to the Service, even if advised that such damages were possible.

To the fullest extent permitted by law, the total liability of Profound Academy and the other parties listed above for all claims arising out of or relating to the Service or these Terms will not exceed the greater of 100 U.S. dollars or the amount you paid to Profound Academy for the Service during the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot legally be limited.

20. Indemnification

To the extent permitted by law, if you use the Service on behalf of an organization, administer a course, or use it for commercial purposes, you will defend, indemnify, and hold harmless Profound Academy and its officers, directors, employees, and agents from third-party claims, damages, losses, and reasonable legal fees arising from your User Content, your course administration, your violation of these Terms, or your violation of law or another person's rights.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service must be brought in a state or federal court located in Delaware, and you and Profound Academy consent to those courts' jurisdiction and venue. This section does not prevent either party from seeking urgent injunctive relief in a court with jurisdiction and does not override mandatory consumer protections or venue rights that apply where you live.

22. Changes to the Service or Terms

We may add, change, suspend, or discontinue Service features. We may also update these Terms. We will post updated Terms on this page and revise the "Last updated" date. If a change is material, we may provide additional notice through the Service or by email. Unless a different date is stated, updated Terms take effect when posted. Your continued use after the effective date means you accept them; if you do not accept them, you must stop using the Service.

23. General Terms

These Terms and any additional terms expressly agreed by Profound Academy are the entire agreement between you and us about the Service and replace prior agreements on that subject. If there is a conflict, specifically agreed additional terms control for their subject matter.

Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, reorganization, or sale of assets. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. Headings are for convenience only.
